Terms and conditions
These Terms govern the use of the Paydex payment services provided by Novella Technologies Limited. Please read them carefully before using the Services.

1. Definitions
“Paydex”, “we”, “us” refers to Novella Technologies Limited (Reg. 3217590), Room 606, 6/F, Hollywood Centre, 77-91 Queen's Road West, Sheung Wan, Hong Kong, and its affiliates providing the Paydex payment services.
“Merchant” or “you” means the legal entity that has accepted these Terms and uses the Services to accept payments. “Services” means the payment gateway, processing, risk monitoring, currency conversion, dashboard and related services described on this website.
2. Acceptance of the Terms
By creating an account, signing a Merchant Agreement or using the Services you confirm that you are authorised to bind the Merchant and that you accept these Terms together with the Privacy Policy, the Cookies Policy and the Anti-Money Laundering Policy.
If any provision of a signed Merchant Agreement conflicts with these Terms, the Merchant Agreement prevails.
3. Onboarding and eligibility
Access to the Services is subject to a compliance review. We may request corporate documents, information about ultimate beneficial owners, business model descriptions and website access.
We reserve the right to decline or suspend onboarding for businesses operating in prohibited or restricted categories, including those listed by the card schemes.
4. Merchant obligations
- Use the Services only for lawful purposes and only for the business activity declared during onboarding.
- Display accurate product descriptions, prices, refund and delivery policies on your website.
- Comply with the rules of Visa, Mastercard and other payment schemes and networks we connect you to.
- Keep API credentials and account access confidential and notify us immediately of any suspected compromise.
- Maintain chargeback and fraud ratios below the thresholds communicated by Paydex.
5. Fees and settlement
Fees are set out in the Pricing section of the Merchant Agreement and in your dashboard. Fees may be deducted from settlements. Settlement timing (T+0 to T+2) depends on the plan, currency and risk profile.
We may hold a rolling reserve to cover potential chargebacks, refunds and fines. Reserve terms are communicated in writing before activation.
6. Chargebacks, refunds and disputes
You are responsible for chargebacks, refunds and related scheme fees. Paydex provides dispute tooling and will represent you with the acquiring bank where possible, but does not guarantee the outcome of any dispute.
7. Suspension and termination
Either party may terminate the Merchant Agreement with 30 days’ written notice. Paydex may suspend the Services immediately in case of suspected fraud, breach of scheme rules, legal requirements or material breach of these Terms. Outstanding settlements will be released after the dispute window closes, less any amounts owed.
8. Liability
To the extent permitted by law, Paydex’s aggregate liability under these Terms is limited to the fees paid by the Merchant in the three months preceding the claim. Paydex is not liable for indirect or consequential loss, loss of profit or loss of data.
9. Governing law
These Terms are governed by the laws of Hong Kong SAR. Disputes are subject to the exclusive jurisdiction of the courts of Hong Kong unless mandatory law provides otherwise.
10. Changes to the Terms
We may update these Terms from time to time. Material changes are notified via the dashboard and email at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance.
